1. If the clutch has not been replaced it will need one soon. This noise may indicate something needing attention. DIY for a 300, take it in for probably a grand.
2. One of the power window is not working. Could be a switch or motor both easy. Swap the switch to see, switches are very easily rebuilt.
3. The seats are not in a great condition. These can be replaced check the used parts suppliers in the link in my sig. Either link to projects will take you to a page with used parts places.
4. The paint is faded but not rusted. No big deal there. Paint, $225 on UP, and the sky is the limit, if you need that sort of thing, Paint.
5. It has 178k miles on it, if the motor is good, compression/leakdown, all is good these motors could use head work at 250K bot don't have to have it and the bottom end is good for at least half a million miles.
